Participation in and payment through the Trinity Solar New Customer Limited Time Promotion, consisting for any particular qualifying project of either the applicable Referral Incentive for Employees and Installed Customers or the applicable Installation Rebate for Newly Signed Customer, but not both (collectively, “NCP”), are subject to the terms and conditions as set out below (the “Terms And Conditions”):

  1. Trinity Solar is offering the NCP on a limited basis, whereby, subject to satisfaction of these Terms and Conditions of the NCP, either a new customer who was not referred by an employee or previously-installed customer may qualify for a payment (the “Promotion Payment”) or a new customer who was referred by an employee or previously-installed customer and the related referrer may each qualify for a payment (the “Referral Payments”).
  2. The NCP is offered for a limited time, beginning March 21, 2020 and ending December 31st, 2020 (the “Term”), and supersedes, replaces and is to the exclusion of any and all other promotions, incentives, rebates, offers and compensation.
  3. Because the NCP requires the exchange and use of personal information all prospective participants (“NCP Participant(s)”) must read and understand the Privacy Policy.
  4. All NCP Participants must meet the following criteria in order to be eligible for the NCP:
    1. the NCP Participant must be eighteen (18) years of age or older; and
    2. the NCP Participant must a legal resident of the United States.
  5. The NCP cannot be used in conjunction with any other incentives, promotions or offers. Only one Promotion Payment or other similar payment by Trinity Solar will be made per installation of a solar electric system (each a “System”). For the avoidance of doubt, no System can qualify for a Promotion Payment and any Referral Payment.
  6. For any NCP Participant’s installation of a System to entitle the NCP Participant to the Promotion Payment the following criteria must be met:
    1. The NCP Participant must sign a new contract for the installation of a System by Trinity Solar during the Term;
    2. The System must be installed by Trinity Solar;
    3. NCP Participant must remain fully compliant with all terms set forth in the solar agreement(s) with Trinity Solar and/or the solar provider;
    4. Any NCP Participant who was referred by a Trinity installation customer, or who had already signed a contract prior to March 21, 2020, is ineligible for this incentive; and,
    5. Trinity Solar must be irrevocably paid-in-full for the installed System.
  7. For any installation of a System to entitle the related NCP Participants to the Referral Payments, the following criteria must be met:
    1. The NCP Participant at whose site Trinity Solar installs a System must have been in contact with the referrer, but must not have been in contact with Trinity Solar, prior to the qualifying referral;
    2. The NCP Participant who bona fide refers the new customer to Trinity Solar must be a customer for whom Trinity Solar fully completed a System installation prior to the referral or an active Trinity Solar employee who is not in a sales position and who is not otherwise compensated based upon sales activity or volume;
    3. The newly-referred customer must first sign a contract for the installation of a System by Trinity Solar during the Term;
    4. The System must be installed by Trinity Solar;
    5. All NCP Participants related to the transaction must remain fully compliant with all terms set forth in their respective solar agreement(s) with Trinity Solar and/or the solar provider(s) and/or all employment policies and procedures, as applicable; and
    6. Trinity Solar must be irrevocably paid-in-full for the installed System.
  8. Trinity Solar has the right to verify the eligibility of all NCP Participants and may withdraw an NCP Participant’s eligibility to participate in the NCP if Trinity Solar determines, in its sole discretion, that the NCP Participant is in violation of these Terms And Conditions or otherwise subjects Trinity Solar to potential liability.
  9. Trinity Solar is not required to either initiate or continue to pursue any NCP Participant System installation and may choose, in its sole discretion, whether, how or when to do so.
  10. The NCP Participant has no interest in any prospective compensation related to the installation of a System that has not been duly earned pursuant to these Terms And Conditions and shall make no claim otherwise.
  11. Promotion Payments earned by NCP Participants shall be sent (checks deposited with the U.S. Postal Service) within three weeks of the completion of the physical installation of the System.
  12. The NCP Participant agrees to indemnify, defend and hold harmless Trinity Solar and its affiliates, owners, directors, employees, agents, contractors, customers and finance entities (collectively, “Releasees”) in the event that the NCP Participant’s willful act or omission, or negligence, subjects any Releasee(s), directly or indirectly, to liability to any party, including for violations of applicable law, including without limitation the CAN-SPAM Act of 2003, Telephone Consumer Protection Act of 1991, Do-Not-Call Implementation Act of 2003, Do-Not-Call Improvement Act of 20007, Gramm, Leach, Bliley Privacy Act and any other federal, state or local statute, regulation or requirement pertaining to marketing to consumers or otherwise. NCP Participants shall only discuss the NCP with close friends and family and shall not publish any statement, make any representation or engage in any advertisement related to the NCP that has not been specifically authorized by Trinity Solar.
  13. The NCP Participant is not an employee of Trinity Solar by virtue of the NCP and shall not be eligible by virtue of the NCP to earn any wages from Trinity Solar or for any health, welfare or other benefits that may be offered to Trinity Solar’s employees. Other than for bona fide employees, Trinity Solar shall not be required to withhold any taxes from payments made to an NCP Participant or liable for payment of same to any federal, state, county or municipal government agency, and the NCP Participant shall fully pay all taxes pertaining to the NCP Participant promptly when due.
  14. All amounts paid pursuant to the NCP shall be subject to any applicable tax or other reporting and contingent upon Trinity Solar’s prior receipt of a completed Form W-9.
  15. The NCP shall be void where prohibited.
  16. Any and all disputes, claims and causes of action arising out of or related to the NCP or any compensation awarded shall be resolved under New Jersey law (without reference to its conflicts of laws principles), and participants in the NCP agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in New Jersey.
  17. These Terms constitute the entire agreement between NCP Participants and Trinity Solar concerning NCP Participants’ use of the NCP. The failure of Trinity Solar to exercise or enforce any right or provision of these Terms And Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms And Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms And Conditions remain in full force and effect. A person who is not a party to these Terms And Conditions shall have no right to enforce or receive the benefit of any of these Terms And Conditions.
